These Terms & Conditions (“Terms”) govern your access to and use of EcomCloser websites, customer portal, WordPress/WooCommerce plugin(s), licensing endpoints, and related services (collectively, the “Service”).
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
IMPORTANT: This is a software product (digital service). Licenses are issued after payment confirmation. You are responsible for configuring your store’s rules (pricing, shipping, returns, discount limits).
1. Definitions
- “You” means the person or entity using the Service.
- “License Key” means a unique key enabling paid features and site activation.
- “Plan” means a subscription tier (e.g., Starter / Growth / Pro) defining entitlements and limits.
- “Credits” means a usage allowance associated with your Plan (where applicable).
2. Eligibility & accounts
You must be legally able to enter into a contract to use the Service. You agree to provide accurate account information and keep it updated. You are responsible for all activity under your account and for protecting your credentials.
3. Service description
EcomCloser provides WordPress/WooCommerce plugin functionality, including product chat experiences, analytics, conversion events, licensing, plan entitlements, and related tools. Some features may rely on third-party services (e.g., Stripe for payments).
4. Subscriptions, billing, and payment processing
Paid plans are billed via Stripe or other checkout methods displayed on our website. By purchasing a plan, you authorize recurring charges (if applicable) until you cancel.
- Renewals: subscriptions renew automatically unless canceled before renewal.
- Taxes: you are responsible for applicable taxes/VAT unless required otherwise by law.
- Failed payments: we may suspend the plan until payment succeeds.

5. License grant & permitted use
Subject to these Terms and payment confirmation, we grant you a limited, non-exclusive, non-transferable license to use the plugin and Service features for the number of sites and within the limits of your Plan.
- Site limits: your plan may restrict how many domains you can activate.
- Usage limits: credits and/or usage caps may apply (including anti-abuse limits).
- One account per owner: sharing credentials for multi-tenant resale is prohibited unless explicitly agreed.
6. Prohibited use (anti-abuse)
You agree not to misuse the Service. Prohibited actions include, but are not limited to:
- Attempting to bypass licensing, credits, plan limits, or security controls.
- Reverse engineering or extracting proprietary components beyond what is permitted by law.
- Using the Service to distribute malware, perform scraping, or attack systems.
- Generating unlawful, deceptive, or harmful content, or violating consumer protection laws in your store.
- Reselling the Service, keys, or access without a written partner agreement.
7. AI outputs and store responsibility
If the Service includes AI responses, outputs may be incorrect or incomplete. You remain fully responsible for: store content, pricing, discount rules, product claims, legal disclosures, and customer support policies.
You must configure boundaries (e.g., max discount %). You are responsible for ensuring that the AI does not make promises you cannot fulfill (delivery timelines, warranties, refunds).
8. Updates, changes, and availability
We may update the plugin and the Service, add or remove features, or modify limits. We may also temporarily suspend access for maintenance, security, or system reliability. We do not guarantee uninterrupted availability.

10. Intellectual property
The Service, plugin code, branding, and documentation are owned by EcomCloser or licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works.
11. Third-party services
The Service may integrate third-party tools (e.g., Stripe). Those services have their own terms and policies. We are not responsible for third-party outages, changes, or actions.
12. Termination and suspension
We may suspend or terminate your access if you violate these Terms, abuse the Service, attempt fraud, or create security risks. You may cancel your subscription according to our cancellation policy.
13. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee specific conversion rates, revenue, add-to-cart uplift, or marketing outcomes. Results depend on your products, traffic, pricing, and setup.
14. Limitation of liability
To the maximum extent permitted by law, EcomCloser will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business interruption, or reputational harm arising from your use of the Service.
Where liability cannot be excluded, our total aggregate liability for claims related to the Service is limited to amounts paid in the 3 months preceding the claim, or €100 (whichever is higher), unless mandatory law requires otherwise.
15. Indemnity
You agree to defend, indemnify, and hold harmless EcomCloser from claims, damages, liabilities, and expenses arising out of your store operations, content, product claims, legal compliance, or misuse of the Service.
16. Governing law
These Terms are governed by applicable law determined by your jurisdiction and mandatory consumer protection rules (where applicable). Nothing in these Terms limits rights that cannot be waived by mandatory law.
17. Changes
We may update these Terms. Continued use after an update means you accept the updated Terms.
